Carnegie Holding AB Announces Completion of Acquisition by DNB Bank ASA

Stockholm, 6 March 2025 – Carnegie Holding AB (“Carnegie”) is pleased to announce that DNB Bank ASA’s (“DNB”) acquisition of Carnegie Holding AB is completed. The transaction, initially announced on 21 October 2024, has received all necessary regulatory approvals and is now finalized

For now, both companies, DNB and Carnegie, will continue to operate as they currently do. However, a gradual legal and operational integration between Carnegie and DNB will begin, with the full operational model and the launch of the new brand, DNB Carnegie, expected in the first half 2025.

The total consideration for the transaction is SEK 12 billion. Additionally, the purchase price will be adjusted for Carnegie’s capital surplus at the time of the transaction, based on Carnegie’s normalized common equity tier 1 ratio. The shares of the minority shareholders in the subsidiaries of Carnegie Holding AB will also be acquired as part of the transaction, for total consideration of SEK 317 million.

As part of this transition DNB Markets will join forces with Carnegie and form DNB Carnegie. By combining their strengths, DNB and Carnegie will significantly enhance their ability to serve clients across the Nordics, offering a broader range of products while maintaining their entrepreneurial spirit and client-centric focus. The companies complement each other in geography and products, which will further strengthen their market position as the Nordic Financial Powerhouse.

Following the transaction, Carnegie Fonder AB will operate independently under DNB Carnegie Holding AB with Andreas Uller as CEO, while Montrose by Carnegie will continue its independent operations under the same holding with Alexander Boman as CEO.
